Términos del servicio
1. Parties
Provider. We are finalizing our registered legal entity details (name, address, company registration and VAT numbers, and a contact email) and will publish them here.
Customer. This is a business-to-business (B2B) service for the business entity that subscribes to it.
2. Definitions
- Service — the Strady AI-office platform described in these Terms.
- Tenant / Customer — the business that has subscribed to the Service.
- CEO Agent — the AI agent that is the Customer's single conversational interface into the Service.
- Department — a specific area of AI-driven work (for example, sales, marketing, or finance) included in the Customer's package.
- Credits — the Service's prepaid usage unit, drawn down as the Service performs work.
- Entitlement — a Customer's active access to a specific Department under their package subscription.
- Tenant Data — the data a Customer uploads, generates, or connects through the Service.
- Leads — contact records (such as name and email) a Customer uploads, or the Service gathers on the Customer's instructions.
- Subprocessor — a third party engaged to help provide the Service; see the sub-processors named in our Privacy Policy.
3. The Service
We operate a multi-tenant platform in which each Customer runs a virtual office of AI agents — an AI CEO plus departments and workers — that assist with business tasks such as lead handling, drafting, and outreach. The CEO is the Customer-facing surface, reachable by text or voice, including in a hosted meeting room with live per-person translation. The Customer may optionally connect third-party accounts to extend the CEO's capabilities — a file-storage connector (Google Drive, file-scoped access only — see our Privacy Policy's Limited Use disclosure) and/or a mail connector (Gmail, Microsoft 365, or Yandex Mail) — and may embed a widget on its own website so the Customer's own visitors can talk to the CEO directly. The Service is operator-managed: the operator onboards Customers directly, and there is no public self-serve sign-up at this time.
4. Accounts and access
We are finalizing the specific terms for account eligibility, authorized users, and suspension rights, and will publish them here.
5. Acceptable use and anti-abuse
The Customer must not, and must not permit its users to:
- send unlawful, unsolicited, or non-compliant outreach — the Customer is solely responsible for having a lawful basis and any required consent for every contact it uploads or messages, and must honor opt-outs and applicable anti-spam law;
- upload personal data it has no lawful basis to process;
- use the Service to generate unlawful, defamatory, infringing, or harmful content;
- attempt to extract the Provider's system prompts, model or vendor identities, or infrastructure details, or bypass safety or rate controls;
- resell, sublicense, or reverse-engineer the Service except as law permits.
We are finalizing the complete acceptable-use policy, including enforcement and notice procedures, and will publish it here.
6. Billing — prepaid credits and package subscription
The Service is billed on a prepaid credit model plus a recurring package subscription:
- Credits are the platform's usage unit — 1 credit = $0.01. Usage draws credits down from the Customer's balance; the ledger records every grant and every draw-down.
- Package subscription — the Customer subscribes to one package that provisions every available department; the subscription fee is set for the Customer and communicated before it takes effect, and is never a separate, per-department charge.
- Top-up and payment — payment is taken through a Merchant of Record, Polar, which processes the Customer's payment and issues the compliant purchase invoice. Until our automated billing integration is fully live, credit grants are applied by the operator directly.
- Non-refundable consumed credits. Credits already drawn down for delivered service are non-refundable; see Section 8 for cancellation and the remaining balance.
- We are finalizing our credit-expiry and low-balance policies and will publish them here.
7. Service levels
We are finalizing our service-level commitments — uptime target, support response times, and any service credits — and will publish them here. Until then, the Service is provided on a best-effort basis.
8. Refunds and cancellation
The Customer may cancel their package subscription; the platform supports an entitlement lifecycle with statuses active, suspended, and cancelled. We are finalizing our full refund and cancellation policy, including any statutory withdrawal rights, and will publish it here.
9. Customer data, IP, and confidentiality
Ownership. The Customer retains all rights in Tenant Data and content it uploads or generates. The Customer grants us the rights necessary to operate the Service — to process, store, and transmit its data as described in our Privacy Policy.
Data protection. The Customer is the controller and we are the processor of the third-party personal data the Customer supplies or connects — leads, files connected through a file-storage connector, and messages received via an embedded widget from the Customer's own website visitors. See also our Privacy Policy.
AI output. The Customer is responsible for reviewing AI-generated content before relying on or sending it; we do not guarantee its accuracy.
Confidentiality. We are finalizing our mutual confidentiality terms and will publish them here.
10. Warranties and disclaimers
The Service — including all AI-generated content — is provided "as is." AI output may be inaccurate, incomplete, or unsuitable; the Customer is responsible for reviewing it before relying on or sending it. We are finalizing the specific warranty disclaimers, subject to any statutory warranties that cannot be excluded, and will publish them here.
11. Limitation of liability
We are finalizing our limitation-of-liability terms, including any liability cap and non-excludable carve-outs, and will publish them here.
12. Taxes and VAT
Our VAT treatment is being finalized with a tax adviser and will be published here before general availability.
13. Term, termination, and offboarding
We are finalizing the specific terms for term, renewal, and termination, and will publish them here.
Offboarding and erasure. On termination, we will give the Customer an opportunity to export its Tenant Data before we delete it. The platform supports provable, per-subject erasure and time-based pruning of transcripts and logs. We are finalizing the exact retention window between termination and deletion, and will publish it here.
14. Changes to the Service or these Terms
We are finalizing our process for notifying the Customer of changes to the Service or these Terms, and will publish it here.
15. Governing law and jurisdiction
These Terms are governed by the laws of the Republic of Slovenia, and the courts of Slovenia have jurisdiction; the specific competent court will be published here once finalized.
16. Miscellaneous
We are finalizing our standard miscellaneous terms — assignment, entire agreement, severability, force majeure, and notices — and will publish them here.
